1. Introduction Welcome to Echo (the "Platform"), operated by Echo ("we," "us," or "our") at viaecho.co. These Terms of Service ("Terms") govern your access to and use of our website and services. By creating an account as either a "Brand" or a "Creator," you agree to be bound by these Terms.

2. The Marketplace Relationship Echo is an intermediary marketplace that facilitates connections and campaign organization between Brands and Creators. We do not employ Creators. All collaborations are independent contracts between the Brand and the Creator. Echo is not a party to those individual contracts and provides only the infrastructure for discovery and workflow management.

3. Account Registration & AI Vetting

• Creators: To use the Platform, you must connect your social media accounts via our authorized APIs. You acknowledge and agree that Echo uses AI tools to audit your public content history (typically up to 3 years) to assess brand safety, engagement authenticity, and audience metrics.
• Brands: You agree to provide accurate campaign briefs and legitimate business information.

4. Campaign Management and Direct Payments At this stage, Echo does not facilitate, process, or hold funds for any financial transactions between Brands and Creators.

• Direct Negotiation: Brands and Creators are solely responsible for negotiating fees, payment schedules (e.g., Net-30), and payment methods (e.g., direct bank transfer, PayPal).
• Liability: Echo is not responsible for any payment disputes, non-payment, or failure to deliver services. We recommend that parties use written agreements for all financial commitments.

5. Intellectual Property & Usage Rights Standard collaborations on Echo grant the Brand a limited license to use the Creator’s content as defined in the specific campaign "Smart Brief." Unless otherwise agreed upon in writing between the parties, Creators typically retain the copyright to their work while granting the Brand specific usage rights (e.g., organic reposting or paid ad usage) for a defined period.

6. Legal Compliance & Mandatory Disclosures All sponsored content facilitated through Echo must comply with the relevant advertising regulations in the jurisdiction of the audience.

• United States: Content must follow FTC Guides Concerning the Use of Endorsements and Testimonials.
• United Kingdom: Content must follow ASA/CAP requirements and the Digital Markets, Competition and Consumers (DMCC) Act 2024, specifically regarding the clear labeling of incentivized content (e.g., using #ad).

7. Limitation of Liability As an intermediary platform, Echo is provided "as-is." We are not liable for the conduct of any user, the quality of content produced, or the outcome of any marketing campaign.
